There are so many variables when making your own music. Because the maximum album rate is a multiple of the single-song rate, let's first look at what they do to you in each song. Here it is:

Percentage of Statutory. The first argument is to see if you  can get more that the standard, off-the-shelf 75% of statutory. If you're a new artist, you probably won't. If your a mid level or up, you have some bargaining power. Try to get the percentage over 75%. If you can't, one compromise is to ask for an escalation on later albums. For example, you might have a 75% rate on albums one and two, an 85% rate on albums three and four and 100% after that.  Minimum rate means that compositions are treated as if they are five minutes of less in duration, regardless of their actually playing time. This means there are no additional payments for lengthy compositions. For example, the current statutory rate for for a seven minute song is 12.25 cents. But under these provisions, you're only paid 9.1 cents if you get 100% of statutory, or 6.82 cents if you have a 75% rate. Changes in statutory rate changes over time. A set rate will not go up. Even if you get a full rate it will be locked. This is tough to change even if you are at superstar status.

     Companies limit mechanical royalties when making your own music. Here are two specific ways they are controlled.

1. Rate Per Song
In 1976 the Copyright Act raised the statutory rate from 2 cents to almost 3 cents when the record companies hit upon the idea that they should require their artists to license controlled compositions at 75% of the statutory rate, with further reductions to 50% for record club or budget records. The controlled clause existed before 1976 Copyright Act, but they didn't reduce the rate below statutory. To a large degree, the companies have been successful in getting these 75% and 50% rates with almost all new, and many midlevel artists. Even the biggest superstars have some form of controlled composition clause, although the limit may be 100% of statutory.

2. Rate Per Album
There is also a limit of ten or so times the single song rate for each album. Next post I will discuss Maximum rate per song.

Composition Clauses

These clauses are one of the most significant provisions in your recording arrangement, and you needed to understand both record deals and publishing to grasp the concepts. Since now you've got 'em both, let's do it. A controlled composition is a song written, owned, or controlled by the artist. However, it's usually defined more broadly than that, and includes:

1. Any song which the artist has an income or other interest. This means that, even if the artist doesn't own or control it, it's a controlled composition if he or she wrote or otherwise gets a piece of the earnings.

2. Sometimes. the definition also includes compositions owned or controlled by the producer of the recordings. You really have little, if any control over a producer's publishing, and thus you should try hard to  get this provision out. It's hard to get rid of this, except at superstar levels, but do your best. I say this not only because it's difficult to get a producer to comply with it, but also because, with a producer of any importance, you could end up blowing your producing deal over it.

     As I mentioned in a previous post, that as an artist you should start with a publisher when making your own music. Today I will discuss mechanical licenses for publishers. There are two major organizations that issue mechanical license for publishers. One is Harry Fox Agency, which in the United States is the largest organization of its kind. In Canada CMRRA, standing for Canada Mechanical Rights Reproduction Agency. What are this organization do for publishers? They act as a publishers agent for mechanicals. They issue licenses for the publisher, police them (make sure the users pay), and account to the publisher. This is not a free service and you need them. Harry Fox charges 6.75%  of the gross monies collected. CMRRA charges 6%. Not only due they collect and issue but they also audit record companies on behalf of their clients, and then allocate the recovered monies among their clients in proportion to their earnings. This is significant for a smaller publisher, as the cost of an audit for small earnings is prohibitive and an audit can cost $15,000 to $25,000 or more, and unless the recovery is likely to be several times the amount, it's not economical.

The music industry changes like the weather. How do you break through as an artist when making your own music? Today several artists are seeking the backdoor approach to obtaining a recording deal. A great route is to get signed by a publishing company. First thing to do is go online and join a music society. In Canada join SOCAN. If you are an artist based in the United States, there is BMI or ASCAP. There are some major publishing companies just like the record labels. My advice is to do what you can to attract a middle of the road publishing company with some clout. Find out who they know and who they have worked with and if they can exposed your songs to TV, film and commercials. If a publishing company has no contact with labels, I would not pursue them. The other positive with a publish company is that they will listen to your demo. Three of your best songs, no more. Labels will through it in the trash unless it is submitted by a manager or publisher. Remember some music publishing companies work with record labels. They can convince the labels to sign you if the publishing company really like you.  An example is the group Ben Folds Five. They got a publishing deal first and then were eventually signed. My advice is to do your homework at obtain a publishing company that can work for you and likes you. Also, a big one is they must have clout! Good luck.

Types Of Publishing

For this reason, there are a lot of smaller players in the publishing business, and it isn't nearly so dominated by the majors as is the record business. There are, to be sure, megaton publishing companies such as Warner/Chappell and EMI, who have worldwide operations ad generate hundreds of millions of dollars per year, but there are bush loads of others running the gamut from a one-person show to the giants. Here's a broad-stokes view of the different types:

The 900 Pound Gorillas. These are the major companies, most of which are affiliated with a record and/or film company. Examples are Warner/Chappell, EMI, Unviersal, BMG, Sony/ATV, Famous music which is owned by Paramount Communications. Actually,  the weight of these gorillas varies considerably. EMI and Warner/Chappell are clearly the 900-pounders, while Universal, BMG, and SOny are clearly 600 pounders.

Major Affiliates. There are a number of independent publishing companies, with full time staffs of professionals, whose administration is handled by a major. Quincy Jones Publishing, for example is administered by Warner/Chappell. And there are hundreds of smaller examples as well. Publisher's affiliation with a major may be for the world, or it may be for only certain territories. For instance, a publisher might be affiliated with a major for the United States and have separate sub publishing deals for the rest of the world.

Stand-alones. Stand-alones is my term borrowed from cable TV and not and industry one. I'm using it to mean a company that's not affiliated with a major, and instead does its own administrations. In other words, it collects its own money, does its own accounting's, etc. It may. however, license territories outside the United States to a major. Example stand-alones are Peer and Bug.

Writer-Publishers. Many writers keep their own publishing. Examples are well-established writers who don't need a publisher because people are constantly begging them for a song.

Just because the publishing game has a low entry price doesn't mean it's an easy gig. So you have to check out your publishing thoroughly. The difference between a good publisher and a unqualified one can mean a lot to your pocketbook. For example, a good publisher knows how much to charge for various licenses and where to look for hidden monies and foreign monies. The bad ones can lose you money just by sitting there and not doing what they're supposed to. An inexperienced publisher affiliated with a major is a quantum improvement over an unqualified publisher trying to go it alone. However, the major will not have the same incentive to take care of the independents songs as it will to take care of its own. Also, a major own tens of thousands of copyrights, so you can get shoved onto the back shelf. On the other hand, a good independent publisher affiliated with a major can often do better for you than if you signed to the major directly. If the publisher has enough clout to become a squeaky wheel on your behalf it can prevent you from getting lost in the shuffle. Hope you enjoyed this post.

What Does A Publisher Do?

As a songwriter, you may be interested in business, but your talents are best spent in creating and writing songs. However, someone needs to take care of business, and that's where the publishing industry came from. A publisher makes the following speech to a songwriter. The publisher learns forward, rattling the gold chains on his chest. Your strength is writing songs, and mine is taking care of business. You assign the copyright in your song to the publisher and they find people to use your songs. You can make a pretty penny with a publisher if they are good and have clout. Traditionally, the publisher splits all income 50/50 with the writer (with the exception of sheet music and performance monies, which I will get into later). The publisher's 50% is for overhead and profit. The share of money kept by the publisher from each dollar is known by a sophisticated industry term: the publisher's share. Then you get the writers share.

Publishers Are Major

Publishers today are major players when making your own music. There role has changed radically. Some are great creative publishers, in the same sense that they put their writers together with other writers, help them fine-tune their writing, match writers with artists, etc. They also use their clout to help the songwriter find a record deal and promote their records after they have a deal. However, today major artist don't have publishers. They obtain their own publishing rights. This means you profit 100% instead of 50%. Publishing is a major concept if you are a new artist and something to consider when making your own music.

Mechanics of Publishing

1. An administrator to take care of registering copyrights in the songs, issuing licenses, collecting money, paying writers, etc.

2. A "song plugger" who runs around and gets songs recorded.

3. A creative staff person, who finds writers, works with them to improve songs.

Thus, unlike the record business, it takes only a small capital investment to call yourself a publisher. You don't need a large staff, and there's no need for the expensive distribution  network, warehouses, inventory, etc. A vest pocket publisher refers to one person, with administrative help, acting as a publisher.

Mechanical Royalties

The term mechanical royalties developed in the 1909 Copyright Act, and referred to payments for devices serving to reproduce sound. Even though devices haven't reproduced sound "mechanically' since the 1940's, the name has stuck and the monies paid to copyright owners for the manufacture and distribution of records are still called mechanical royalties. The rights to reproduce songs in records are known as mechanical rights.
The concept of a compulsory license for these mechanical rights grew out of a concern in Congress that the music industry was going to develop into a gigantic monopoly. This desire to keep copyright owners from controlling the world resulted in the compulsory license for records, which accomplishes its mission nicely. It says that, once a work has been recorded and released to the public, the publisher is required to license it to anyone else who wants to use it in records.

Compulsory Mechanical License

The compulsory copyright royalty provision for records is in Section 115 of the Copyright Act. It provides that, once a song has been recorded and released to the public, a copyright owner must license it: (a) to anyone else that wants to use it in a phonorecord which is a defined term in the Copyright Act; and (b) for a specific payment established by the law. However, the owner must give a compulsory license only if:

1. The song is a non-dramatic musical work
2. It has been previously recorded
3. The previous recording has been distributed publicly in phonorecords
4. Your recording doesn't change the basic melody or fundamental character of the song
5. Your use of the recording will be in phonorecords only

All of these conditions must exist before you get a compulsory license. Let's look at them:

Non-dramatic Musical Work. Before you can get the license, the song must be a non-dramatic musical composition. It's not clear what a dramatic musical composition is, but it's probably a song used in an opera or musical.

Previously Recorded. You can't get a compulsory license for the very first recording of work. The law allows the owner to control who gets it the first time, which is known as first use. Once it's recorded, however, anyone can get a compulsory license if the first recording was authorized by the copyright owner.

Public Distribution. The first recording must have been distributed to the public. This closes loopholes from the prior law, and is of course eminently logical. It's not enough that the publisher allowed a recording to be made if it wasn't released.

No Major Changes. When you get a compulsory license, you're allowed to arrange the song to conform to the style or manner of interpretation of the performance. However, you can't change the basic melody or fundamental character of the work.

Phonorecord Use. A compulsory license is available only for phonorecords, which are defined in the copyright law to mean audio only recordings. This definition was the publishers finest lobbying accomplishment in the 1976 Copyright Act, because it excluded home video devices from the definition of phonorecrds. A compulsory license  means that you must issue a license to someone who wants to use your work, whether you like it or not. There are six compulsory license:

1. Cable television rebroadcast.
Cable companies set up a big antenna to receive weak signals and send them along to the homes in the area. The cable tv compulsory license requires the local broadcasting stations to allow the cable company to retransmit their signals in exchange for payment of set fees. Without it this would be considered unauthorized distribution of copyrighted programming.

2. Public Broadcasting System.
The PBS lobbyists did a terrific job of requiring copyright owners to license works to them at very cheap rates.

3. Jukeboxes.
In may surprise you to know that, until 1976 Copyright Act, jukeboxes paid nothing for the right to use music. They were considered toys in the 1909 Copyright Act. Now they pay a license fee.

4. Digital performances of records.
This baby was added in 1995, then modified in 1998, and it requires the owners of recordings to allow performances on digital radio, which also includes webcasting radio shows on the Intenet.

5. Digital distribution of records.
This requires the owner of the song to license the downloading of records over the Intenet, telephone lines, satellites, etc.

6. Phonorecords of non-dramatic musical composition.
This is a big one in the music industry.

Under the United States copyright law, as soon as you make a tangible copy of something, you have a copyright. In making your own music, tangible simply means something that you can touch. If the work is a musical composition, for example, it can be written down if you write music, or just sung it onto a recorder. Once this tangible copy exists, you have all the copyright you need. Many people think you have to register in Washington D.C. to get a copyright. Not true. There are some important rights you get from registering, but securing a copyright isn't one of them. So yes, it is that simple. If you sing a song in your head, no matter how completely it's composed, you have no copyright; if you write it down or record it, you have one.

What Are All These Rights You Get?

When you have a copyright, you get the following rights at no extra charge. These rights are exclusive, which means that no one can do these things without your permission. You get exclusive rights to:

1. Reproduce the work.
For example, if you write a song, no one can record it, publish is as sheet music, put it in a movie, or otherwise copy it without your permission.

2. Distribute copies of work.
Apart from the right to reproduce your song, there is a separate right of distribution which you also control.

3. Perform the work publicly.
With a song, this means playing it in nightclubs, on the radio, on television, in amusement parks, supermarkets, elevators, etc.

4. Make a derivative work.
A derivative work is a creation based on another work. In the music industry, an example is parody lyrics, like Weird Al Yankovic. This is considered new work. It is called a derivative because it's derived from the original.

5. Display the work publicly.
This does not apply to music; it's the right to put paintings, statues, etc., on public display.

Before you can understand what songwriting and music publishing are all about, you have to understand how copy write works when making your own music. When you deal with something intangible like a copy write (which you can't see, feel, or smell), it's a challenge to nail it down. Copy writes are a tremendous amount of fun. You have to watch this, because they can nip you in the butt. Many of the concepts have been around for over a hundred years; always a challenge in today's world. But don't worry. I'll guide you through the maze.

When you own a copyright, it's like playing Monopoly and owning all the properties on the board. But unlike Monopoly, you're not limited to the rents printed on the little cards. (As we'll see later, there are some pre-set rents, but for the most part you can charge whatever the traffic will bear.) The legal definition of a copyright is "limited duration monopoly." Its purpose is to promote the progress of science and useful arts by giving creators exclusive rights to their works for a while. As you can imagine, if you created something and everybody had the right to use it without paying you, not many people would go through the trouble of creating anything. Upstream Deals-Learning Guitar

Here is a new topic in the industry when making your own music. It has been around for the last few years now. It is called an upstream deal. This is a cross between an independent distribution deal and a production deal. This is how it works:

An indie label goes to a indie distributor that's owned by a major label. It makes a standard distribution deal, but also gives the major label a right to upstream the artist, meaning the deal transforms from a distribution deal with the indie distributor into a production deal with the major label. The upstream deal is made with the major label who supplies the distribution. In other words, the pure distribution part of the deal is in a contract with the major label, not a separate contract with the distributor.

When an artist is upstreamed, the distribution label moves the records from one distributor to its major distributor. It stops paying over the gross sales monies less a distribution fee, and instead pays the indie a royalty. or if the indie has clout a percentage of profits.Whether it's a royalty or profit share. the indie gets less money than it would under a distribution fee. That's because the distributing label is taken a big risk. As part of the upstream, it takes over the costs of marketing, promotion, videos, etc. The distributor also takes a risk on record units being returned. The idea behind the upstream deal is that when an artist's sales gets to a certain point, it takes the clout and money of a major to move those sales to the mega level.

If you are truly a record company in your own right, then this is the deal for you. It gives you the most autonomy and control of your life, as well as highest profit margin. This is the deal that true independent labels make. A pressing and distribution agreement of P&D is exactly that-the company agrees to manufacture records for you, although in some situations this isn't even so; the product is manufactures elsewhere, and then to distribute them solely as a wholesaler. This means you sell the records to the distributing entity for a wholesale price less a negotiate distribution fee. The distribution fee ranges in the 20% to 25% range and less if you are a big label, with the bulk of the deals around 24% to 25%. For example, if a CD wholesales for $10, under a deal with 20% distribution fee, the independent company gets
$8.00 per unit. Out of this, the independent pays manufacturing, mechanicals, artists royalties, promotion, overhead, salaries, and everything else.

In these deals, the entire risk of manufacturing falls entirely on the independent company. Remember how records are sold on a returnable basis. This means that, if you guess wrong, the returns come back home to roost. So not only are you losing your potential profit on the sale, but you're also coming out of pocket and losing the cost of manufacturing and shipping records you can't sell. Many deals also require you to pay a distribution fee even if the record is returned, adding injury to insult. The distribution company typically offers no services whatsoever in term of marketing, promotion, accounting, etc. For example they might help you with marketing, sales, or promotion, and charge an extra 3% to 5% distribution fee.

These type of deals can be made at the highest level like A&M Records was distributed by BMG ins such an arrangement. Small indie labels make these deals with smaller independent distributors.

I have spent a lot of time researching and looking into over one hundred products for guitar lessons. Keep in mind when making your own music, there is a difference between royalty and a joint venture. So, are you better off with a joint venture or have a royalty arrangement? To answer this requires a crystal ball. If you're extremely successful, you're better off with a joint venture. With modest success, you're better off under a royalty arrangement. As I discussed, you're charged for more costs in a joint venture than under a royalty deal, and thus with only modest success. you're behind. However, many of these costs are not "per unit" when making your own music. This mans that there only paid at the beginning, as opposed to "per unit" costs that are incurred for each record made. Examples for per-unit charges are costs of manufacturing, mechanical royalties, union per record charges, freight, etc., which must be paid to manufacture and ship each unit. Costs that are not per-unit are such things like, artwork, videos, promotion, marketing, advertising, which are unrelated to specific units. Thus, with a great deal of success, the non-per-unit costs are eaten up by the first dollars that  come in, and thereafter the profit per unit is far greater than any royalty arrangement is ever likely to be.

When making your own music, a joint venture is the same as a multi-artist or label deal except the production entity doesn't get a royalty. Instead, the production entity and the distribution record company are in effect "partners." This means they take all the income which comes in gross wholesale price of records and all licensing income and put into one big pot. Then they take all the expenses of operations out of the pot, and whatever is left over is split between the two entities. Historically, the split was 50/50, but over recent years this has become increasingly difficult to get. Record labels are shying away from joint ventures altogether, and when they do them, they're trying to pay less- %40 times lower. A true partnership or joint venture means one partner can commit to both of them to legal obligations. For example, if one partner signs a bank loan for $200,000, both partners can be sue if it isn't paid back. Neither you nor the record label wants this, so the agreements sometimes specifically state they aren't legally partnerships or joint ventures. Thus, the name :joint venture" is not technically correct. It just describes a multi-artist deal where the profits are shared as if a joint venture existed.

A multi-artist deal, as the name implies, is one where the production entity has a deal with the record company to sign and deliver a number of artists. It is sometimes called a label deal. When making your own music, these days the production entity usually has its own label on the product. Sometimes, however, the producing entity has no identification on the records, and the public doesn't know they exist. In addition to paying a recording fund for each album, there is often some form of overhead payment to the production entity. This is usually an advance and is used to pay rent, payroll, phone, light bills, etc. For bigger deals, it will also cover marketing and promotion.

The tern of the deal is usually two or three years firm, with the distributor having options for one or more additional one-. two-, or three-year periods.

In previous post I talked about computations when making your own music. I have found it worth while to recompute royalties. First of all it's difficult, complex, time consuming and usually given to a low level bookkeeper. Second, even when done correctly. the advantage you pick up is often very minimal. Third, if and when the artist finds out this looks bad for the artist.

Make sure you don't give the artist any rights you don't have in the first place. I remember where one production company gave an artist approval of coupling, approval of album cover artwork. guaranteed release, etc, when they didn't have those things from the record company. If you fall into this trap, at best it will be embarrassing, and at worst the artist could walk away from your deal when you don't deliver. The artist will still record with the label. However, this doesn't do you any good cause the record label won't pay you royalties if you lose the artist because of the screw-up.

When making your own music, there is what is called a single artist deal. It is basically the same as a loan-out deal but there are a couple of differences. A deal between the artist and production entity is now for real. This means there are true negotiations between the two parties. Typically the artist will ask for things like they would ask a record label. Some provisions are different. Sometimes there is a battle between the production company and the artist. This means that the record label will exercise it's rights under the inducement letter and thus the terms of the inducement letter are critical. Here are some negatives with a production entity:

1) The production entity takes some of the royalty.
2) Harder for you to coordinate marketing, promotion, ect, if you and your manager don't have direct contact with the record label. Have one. Make sure your manager does!

When making your own music, an indie production agreement is what a major distributed indie labels signs
with the major label. These deals are similar to loan-outs, except that the artist doesn't own the corporation in the middle. Typically, the production entity is owned by a producer or other recording mogul whose ears have found you and committed to you. It then signs to a major to deliver the artist's recordings. As we see in a minute, under these deals, the inducements letter is even more critical. There are two basic types of these production deals:

1) A single artist deal is where the production entity makes an agreement with the record company for one specific artist.

2) A mult-artist deal sometimes called a label deal, is where the production entity supplies recordings of various artists, many of whom have not yet been signed by the production entity. As you can imagine, this type of deal is much more complicated than a single-artist deal. Next post I will explain single-artist deals.

When making your own music, hopefully you will begin to get successful. As this occurs, you will want a loan-out corporation. Everybody that is a band or solo artists has one. It's called this because the corporation and not you enters in the deals, and "loans" your services to others for recording, concerts, etc. Having such a company will protect you from being sued. In other words, if the loan-out company's only assets are your record royalties, then someone who sues you over a record-related claim can only grab your record money. They can't go after say, your personal bank account balances, songwriter income, etc.  When making your own music, this is how your record deal works. You sign an exclusive recording contract with your own corporation, on a form that looks like the record company deal. Set up as a LLC(Limited Liability Company), which is set up like a corporation. Once you sign with your own corporation, the record company signs a recording agreement with that entity, which agrees to supply services. Three steps to remember and should also look like when you sign a deal. 1) Artist, 2) Loan-Out Company, 3) Distributing Record Company.

When making your own music, recording artists are entitled to monies payable under the Audio Home Recording Act of 1992. This is known as DART. Congress added a right to be paid for the digital performance of masters in 1995 and the right to be paid for the digital performance of masters. In 1998, the right to be paid for web casting. As a preview, the important thing to know is that with each of these the artist is paid directly for these rights, meaning monies don't go to the record company's. So they can't recoup anything from this. This is a great way to go for artists due to technology and everything is computer influenced these days. However the record labels are trying to figure out a way to get there greasy little hands on this money earned by artists. If you are paid directly, your record deal will say that you're not entitled to share the company's monies. In other words, if whoever collects web casting monies pays you and the label separately, you won't share in each other's cash. What you want to add is that, if anyone pays all the monies to the record company's, you get %50 of those. And try to say that the label can't use these monies to recoup your deficit.Your argument is that they didn't expect to have them for recoupment in the first place.

Foreign Public Performance of Masters

In many countries, the record label is paid a royalty every time a recording is played on the radio. This is different from public performance royalties that are paid to a songwriter and publisher of the musical composition when recording is played on the radio, and which have always been paid in the U.S. Public performance monies for recordings didn't exist in the U.S. until 1995, and the law enacting them is so narrow that it means very little today. But the money is growing! In foreign territories, these monies are substantial. Record companies don't like to share their foreign public performance royalties, on the theory that the artists can get their share by directly applying to the foreign performing society. The problem is that most U.S. artists aren't allowed to collect foreign performances under the local rules, and while this should move the companies to tears, somehow it doesn't. They simply dig into the position that they don't have to give the artist any part of the record company's share, and this is an extremely difficult point for the artist to win.
